This End User License Agreement (“Agreement”) governs your access to and use of Omnia, a hosted software platform operated by Omnia Insurance Group, LLC (“Omnia,” “we,” or “us”) for licensed insurance agencies and their producers. By accessing or using Omnia, you agree to this Agreement on behalf of the agency or business you represent (“Customer”). If you do not agree, do not use the service. Omnia is a business tool intended for commercial use by licensed insurance professionals, not for personal or consumer use.License GrantSubject to this Agreement, Omnia grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use Omnia as a hosted service, solely for Customer’s lawful insurance business and only for the number of authorized users covered by Customer’s order or subscription. Omnia is licensed, not sold, and Omnia reserves all rights not expressly granted.
Nia and the Role of a Licensed HumanOmnia includes Nia, an AI agent that drafts and sends messages, routes calls, prepares quotes, and assembles applications. Nia’s output is assistive and may contain errors. A licensed human producer — not the AI — is responsible for giving regulated advice, recommending coverage, and binding any policy. Customer is responsible for reviewing Nia’s work before it is relied upon and for ensuring that a properly licensed person handles anything that requires a license.
Acceptable Use and ComplianceCustomer is solely responsible for using Omnia in compliance with all applicable laws, including insurance licensing and marketing regulations and telemarketing and messaging laws such as the TCPA. In particular, Customer must:• Have a lawful basis and any required consent to contact every person it uploads or messages, and keep records of that consent.• Honor opt-out and do-not-contact requests, including STOP replies, promptly and permanently.• Ensure that outreach, quoting, and enrollment are performed by appropriately licensed and appointed individuals where a license is required.• Provide accurate information and maintain the accuracy of the lists and records it brings to the service.
RestrictionsCustomer will not, and will not permit others to:• Copy, resell, sublicense, rent, or provide Omnia to a third party except as expressly permitted.• Reverse engineer, decompile, scrape, or attempt to derive the source code or underlying models of the service, except where such restriction is prohibited by law.• Use Omnia to send messages without required consent, to harass, or to violate any law or the rights of any person.• Interfere with the integrity or performance of the service, or attempt to gain unauthorized access to it or its data.• Use the service to build or train a competing product.
Customer Data and ConfidentialityAs between the parties, Customer owns the data it and its contacts provide through the service. Omnia processes that data to provide and improve Omnia and as described in our Privacy Policy. Each party will protect the other’s confidential information and use it only as needed to perform under this Agreement.
Intellectual PropertyOmnia, including its software, models, design, and documentation, is and remains the exclusive property of Omnia and its licensors. Omnia’s names and marks may not be used without our prior written consent.
Service Availability and DisclaimerOmnia is provided on an “as is” and “as available” basis. Omnia does not warrant that the service will be uninterrupted or error-free, or that any output produced by Nia will be accurate, complete, or suitable for a particular purpose. Customer is responsible for verifying results before relying on them.
Suspension and TerminationOmnia may suspend or terminate access for violation of this Agreement, for unlawful use, or to protect the service or others. On termination, Customer’s right to use Omnia ends, and each party will return or delete the other’s confidential information except as required by law.
